Advertising Agreement

This Advertising Agreement ("Agreement") is entered into as of [Date] ("Effective Date") by and between:

All Square ("Advertiser"),
with its principal office at 4047 Minnehaha Ave, Minneapolis, MN 55406, USA,
and

[Client Name] ("Client"),
with its principal office at [Client Address].

1. Term

This Agreement shall commence on the Effective Date and continue until [End Date] unless terminated earlier in accordance with Section 6.

2. Advertising Services

The Advertiser agrees to provide the following services to the Client:

• Display Client’s advertisements on All Square’s website ([Website URL]).
• Ensure ads comply with Microsoft Advertising Policies and applicable laws.
• Provide monthly performance reports to the Client.

3. Payment Terms

• Cost: Client agrees to pay Advertiser [Amount] USD per [Month/Impression/Click] (specify).
• Payment Schedule: Payments are due within 30 days of invoice issuance.
• Late Fees: A 1.5% monthly fee will apply to overdue balances.

4. Ad Content & Compliance

• Client shall provide all ad content (text, images, links) and ensure it:
  • Complies with Microsoft Advertising Policies and local laws.
  • Does not infringe on third-party rights (e.g., copyrights, trademarks).
  • Does not contain false, misleading, or discriminatory content.
• Advertiser reserves the right to reject or remove non-compliant ads.

5. Placement & Performance

• Ads will be displayed in [specific sections/positions] on All Square’s website.
• Advertiser does not guarantee specific traffic volumes or conversion rates.

6. Termination

Either party may terminate this Agreement with [30 days] written notice. Advertiser may suspend ads immediately if Client breaches terms (e.g., non-payment, policy violations).

7. Confidentiality

Both parties agree to keep proprietary information (e.g., pricing, strategies) confidential for [X years] post-termination.

8. Liability

• Advertiser is not liable for losses due to technical failures, third-party actions, or Client-provided content.
• Client indemnifies Advertiser against claims arising from Client’s ads.

9. Governing Law
